These Terms of Service ("Terms") are an agreement between you and STRATBOX AI LLC ("stratbox," "we," "us" or "our"). They cover your use of stratbox.ai (the "Site"), the free tools on the Site, and the stratbox platform and related services (together, the "Services").
By applying for early access, starting a pilot, creating an account or otherwise using the Services, you agree to these Terms. If you use the Services for an organization, you confirm that you can bind that organization, and "you" means that organization and its authorized users. If you do not agree, do not use the Services.
stratbox is strategy execution software. It ties each goal to an owner and the procedures that deliver it, reads evidence from the tools your teams already use, and flags what is likely to slip with a recommended fix. Some features use artificial intelligence.
stratbox is in early access. We may add, change or remove features, and we will tell you before removing a feature your Workspace relies on.
You must be able to form a binding contract where you live. Give us accurate information and keep it current. You are responsible for your credentials and for activity in your account. Tell us at hello@stratbox.ai if you suspect unauthorized use. Administrators manage Authorized Users and their permissions.
Founding pilot. Founding teams use the full product free for 60 days, set up around one live program. No payment card is needed to start.
After the pilot. You decide whether to continue. We agree a founding rate with you before day 60, and nothing renews or is charged without your written agreement. Founding rates stay locked for as long as you keep your subscription.
Plans. Team, Business and Enterprise plans are priced per operator, the people who run programs and set up goals and procedures. Contributors and viewers are free. Prices are agreed in an order form or on a call.
Order forms. If you sign an order form or a separate agreement with us, it takes priority over these Terms where they conflict.
Billing. When a paid plan starts, fees are charged in advance through our payment processor as set out in your order form. Unless the law or your order form says otherwise, fees are not refundable. If a payment fails, we may pause access after giving you notice. We may change prices for future billing periods with reasonable advance notice; founding rates are excluded.
The Services work by reading data from tools you choose to connect, such as Jira, Linear, Asana and Slack. You decide which projects and channels to connect and can disconnect any tool at any time. Your use of those tools is governed by their own terms. We are not responsible for third-party tools, and we may pause an integration if the provider changes or withdraws it.
The Site offers free tools, such as the Strategy Execution Gap Scorecard, calculators and downloadable templates. They give general estimates based on the numbers you enter and are not professional, financial or legal advice. You may use and adapt our templates inside your organization. You may not resell them or publish them as your own.
Emails from us. When you give us your email address on the Site, for example through the scorecard, a calculator, the early access form or the contact form, we send you what you asked for. We may also send you follow-up emails, product updates and our newsletter, The Execution Loop. Every email includes an unsubscribe link, and you can opt out at any time by using it or by writing to hello@stratbox.ai.

We may limit or pause access if your use breaks these Terms or puts the Services or other customers at risk. Where we can, we will tell you first.
You own your Customer Content. You give us permission to host, process and display it only to provide, secure and support the Services for you. We do not use your Customer Content to train AI models for anyone else. You are responsible for having the right to connect the tools and submit the content you use with stratbox.
Outputs are there to support your judgment. They can be incomplete or wrong, so review them before acting. You are responsible for decisions you make with them. You may use Outputs for your internal business purposes.
We and our licensors own the Services, including the software, design and methodology, but not your Customer Content. We give you a limited, non-exclusive, non-transferable right to use the Services during your subscription. If you send us feedback, we may use it without obligation to you.
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, already known, independently developed or lawfully received from someone else. A party may disclose confidential information when the law requires it, with notice where allowed.
We work to keep the Services available and reliable but cannot promise uninterrupted access. Founding teams get set-up and support directly from the founder. Any service levels for Enterprise customers are set out in their order form.
To the extent the law allows, the Services, free tools and Outputs are provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability is limited to the greater of the fees you paid us in the 12 months before the claim or one hundred US dollars. Nothing here limits liability that cannot be limited by law.
You will defend and indemnify stratbox against third-party claims arising from your Customer Content or your breach of these Terms, except to the extent caused by us.
You can stop using the Services at any time. Paid plans end at the close of the current billing period unless your order form says otherwise. We may end or pause access for a material breach or non-payment after notice. When access ends, you can export your Customer Content for 30 days, after which we delete it, except for routine backups that are deleted on their normal cycle. Sections that by their nature should continue will continue.
These Terms are governed by the laws of the State of Florida, United States, and disputes go to the state and federal courts in Duval County, Florida. Either party may seek urgent relief in any competent court to protect its intellectual property or confidential information. Consumers keep any mandatory protections of the country where they live.
We may update these Terms. For material changes we will update the date above and notify customers by email or in the product before the change takes effect.
These Terms, the Privacy Policy and any order form are the whole agreement between us about the Services. You may not assign these Terms without our consent; we may assign them as part of a merger or sale. If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
