StratBox AI Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and StratBox AI LLC ("StratBox AI," "we," "us," or "our") and govern your access to and use of stratbox.ai (the "Site") and the StratBox AI platform and related services (together, the "Services").

By creating an account, starting a free trial, accepting an early access invitation, or otherwise using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization and its authorized users. If you do not agree, do not use the Services.

1. Definitions

  • "Account" means the registration that allows you to access the Services.
  • "Workspace" means the environment where your organization's users collaborate within the Services.
  • "Authorized User" means an individual your administrator permits to use the Services.
  • "Customer Content" means the data, text, goals, procedures, assessments, responses, and other material you and your Authorized Users submit to the Services.
  • "Subscription" means a paid or trial plan that grants access to the Services for a defined period.

2. The Services

StratBox AI is an accountability intelligence platform that helps organizations connect their vision and goals to standard operating procedures and assessments, track progress, and produce insights and recommendations. The Services include features that rely on artificial intelligence, such as automated scoring and the generation of insights.

We may add, change, or remove features over time. The roadmap may include capabilities, such as the ability to automatically configure and implement enterprise systems, that are planned for future releases and are not guaranteed.

3. Eligibility and accounts

You must be old enough to form a binding contract in your jurisdiction, which generally means you have reached the age of majority. You agree to provide accurate information during signup and onboarding and to keep it current.

You are responsible for your Account credentials and for all activity that occurs under your Account. Keep your password confidential and notify us promptly at support@stratbox.ai if you suspect unauthorized use. Administrators are responsible for managing Authorized Users and the roles and permissions assigned to them.

4. Plans, trials, early access, and billing

Plans. We offer subscription tiers including Starter, Team, and Business, as well as an Enterprise option arranged directly with us. Plan features and limits are described on the pricing page.

Free trial. Eligible plans may include a free trial of 14 days with no credit card required. At the end of a trial, access may be limited unless you choose a paid Subscription.

Early access. During the early access period, designated plans may be made available at no charge, with grandfather rate messaging communicated to early customers. We will give reasonable notice before any plan begins to be billed.

Enterprise. Enterprise engagements, including custom pilots, are governed by a separate order form or agreement, which prevails over these Terms to the extent of any conflict.

Billing. When paid billing begins, fees are charged in advance on a recurring basis through our third party payment processor according to the plan you select. Unless required by law or stated otherwise, fees are nonrefundable. You authorize us to charge your payment method for all applicable fees and taxes. If a payment fails, we may suspend access until the amount due is paid.

Changes to fees. We may change fees on a prospective basis with reasonable advance notice. Changes take effect at the start of your next billing cycle.

5. Acceptable use

You agree not to:

  • Use the Services in violation of any law or regulation
  • Access or use the Services to build a competing product, or copy features or functionality
  • Reverse engineer, decompile, or attempt to extract source code, except where permitted by law
  • Upload malware, attempt to gain unauthorized access, or interfere with the integrity or performance of the Services
  • Use the Services to store or transmit content that is unlawful, infringing, defamatory, or harmful
  • Share Account access with people who are not Authorized Users, or exceed the user limits of your plan
  • Scrape, harvest, or collect data from the Services without authorization

We may suspend or limit access if we reasonably believe your use violates these Terms or poses a risk to the Services or other users.

6. Customer Content and ownership

As between you and StratBox AI, you own your Customer Content. You grant us a worldwide, nonexclusive license to host, process, transmit, display, and otherwise use Customer Content solely to provide and improve the Services, to support you, and as otherwise permitted in our Privacy Policy.

You are responsible for your Customer Content, including its accuracy and your right to submit it, and for obtaining any necessary consents from the individuals whose information it contains. You represent that your Customer Content does not infringe the rights of any third party.

7. Artificial intelligence features and outputs

The Services use artificial intelligence to generate scores, assessments, insights, and recommendations ("Outputs"). Outputs are provided to support your decision making and may be incomplete or inaccurate. You are responsible for reviewing Outputs and for any decisions or actions you take based on them. We do not warrant that Outputs are accurate, reliable, or fit for a particular purpose.

You may use Outputs for your internal business purposes. Given the nature of artificial intelligence, Outputs may not be unique, and similar Outputs may be generated for other customers.

8. Third party services and integrations

The Services may integrate with third party products, such as file storage or productivity tools, that you choose to connect. Your use of those third party products is governed by their own terms and privacy policies. We are not responsible for third party products, and your connection of them is at your own discretion. We may suspend an integration if a third party changes or discontinues its service.

9. Intellectual property

We and our licensors own all rights in the Services, including the software, design, and all related intellectual property, excluding Customer Content. These Terms grant you a limited, nonexclusive, nontransferable, revocable right to access and use the Services during your Subscription, subject to these Terms. All rights not expressly granted are reserved.

If you provide feedback or suggestions, you grant us a perpetual, royalty free right to use them without restriction or obligation to you.

10. Confidentiality

Each party may have access to the other party's confidential information. Each party agrees to protect the other's confidential information with reasonable care and to use it only to perform under these Terms. This obligation does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or is rightfully received from a third party. A party may disclose confidential information if required by law, with notice where permitted.

11. Service availability and support

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may perform maintenance, and we may modify or discontinue parts of the Services. Where we offer support, the scope and response times depend on your plan. Any committed availability or support levels for Enterprise customers will be stated in the applicable order form.

12. Disclaimers

The Services and all Outputs are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, to the maximum extent permitted by law. We do not warrant that the Services will be error free, secure, or uninterrupted, or that Outputs will be accurate. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim, or one hundred dollars.

Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless StratBox AI and its officers, employees, and agents from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of your Customer Content, your use of the Services, or your breach of these Terms, except to the extent caused by our own wrongful acts.

15. Term and termination

These Terms apply while you use the Services. You may stop using the Services and cancel your Subscription at any time through your Account or by contacting us. Cancellation takes effect at the end of your current billing period unless otherwise required by law.

We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Services in a way that creates risk or legal exposure. On termination, your right to use the Services ends. We will make Customer Content available for export for a limited period as described in our Privacy Policy or applicable order form, after which it may be deleted. Sections that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitation of liability, and indemnification.

16. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in the State of Florida, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information. If you are a consumer in the European Union, you retain the benefit of any mandatory consumer protections of your country of residence.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide reasonable notice, for example by email or through the Services. Your continued use of the Services after the changes take effect means you accept the revised Terms.

18. General

Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and any order form, are the entire agreement between you and us regarding the Services.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is found unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
